Promptima Terms of Service

Welcome to Promptima ("Promptima", "we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of our websites, apps, and services that optimize prompts for AI systems across chat, image, video, and coding models (the "Service").

By creating an account, starting a session, or using the Service, you agree to these Terms. If you use the Service on behalf of a company, you represent that you are authorized to bind that company, and "you" refers to that company.

If you do not agree, do not use the Service.

2. The Service

Promptima helps transform user intent (your inputs) into model-ready instructions for third-party AI systems. We offer:

  • Chat prompt engineering (multiple model families)
  • Image prompt engineering (JSON prompting and blueprints)
  • Video prompt engineering (storyboard JSON prompting)
  • Coding prompt engineering (IDE + model aware optimization)
  • Optional intent-analysis flows that ask clarifying questions

We may update, improve, or change features over time. Where feasible, we'll provide notice for material changes.

3. Accounts & eligibility

  • You must be at least 13 years old (or 16 where local law requires).
  • Provide accurate registration information and keep credentials confidential.
  • You're responsible for all activity under your account.

We may suspend or terminate accounts for policy breaches or misuse.

4. Plans, credits, and billing

  • Promptima may be free to use until September 7, 2025 UTC ("Launch Free Window"). During this period, usage limits may be relaxed or shown as "infinite".
  • After the Launch Free Window, accounts fall under a monthly plan with credit allowances. Credits are measured internally as units (e.g., 1 credit = 2 units) and are consumed by features such as:
    • Fast Enhance (0.5 credits)
    • Intent Wizard – open (0.5 credits)
    • Intent Wizard – generate (0.5 credits)
  • Paid Pro tiers provide larger monthly allowances. Unused credits typically do not roll over unless we explicitly state otherwise in the plan details.
  • Upgrades take effect immediately; we may prorate or reset cycles when you change tiers. Downgrades apply at the next billing cycle.
  • Pricing and plan details are shown in-product and may change. Taxes may apply.

Refunds. Except where required by law, fees are non-refundable.

5. Acceptable use

You agree not to:

  • Use the Service for unlawful, infringing, harmful, violent, hateful, or deceptive content.
  • Violate third-party rights (e.g., privacy, IP, publicity).
  • Probe or breach security, rate limits, or resource quotas.
  • Reverse engineer our systems, resell the Service, or circumvent usage controls.
  • Submit prompts or data you're not authorized to share.

We may investigate, suspend, or terminate for violations.

6. Your content and licenses

"Your Content" includes prompts, answers to intent questions, uploaded assets, and any outputs you choose to store with us.

  • You retain all rights to Your Content.
  • You grant Promptima a limited license to host, process, display, and transmit Your Content only to provide and improve the Service (e.g., compile prompts, show history, detect abuse, measure quality, and maintain security).
  • We do not sell Your Content.
  • For third-party providers (e.g., model APIs), Your Content may be transmitted to them to fulfill your request under their terms. You are responsible for ensuring you have rights to submit Your Content for processing.

7. Third-party providers

Promptima integrates with model and infrastructure providers (e.g., AI model APIs, email/SMS, hosting, auth). Each provider has its own terms and privacy practices. We configure providers to minimize data exposure and, where controls exist, to disable model training on API inputs/outputs. However, each provider's policy applies to their processing.

We may add or change providers. A current list is maintained in our Subprocessors page or in-product documentation.

8. Privacy & data protection

Our Privacy Policy explains what we collect, how we use it, retention periods, and your choices (access, deletion, etc.). By using the Service, you agree to our Privacy Policy.

9. Beta features and changes

Some features may be labeled Beta or Preview and may be incomplete or change rapidly. We provide them "as is" without warranties.

We may modify or discontinue parts of the Service. Where changes are material, we'll aim to give reasonable notice.

10. Intellectual property

The Service (software, brand, site content, and design) is owned by Promptima or our licensors and protected by law. Except for rights expressly granted, no license is implied.

You may not use our trademarks, logos, or brand assets without permission.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND MERCHANTABILITY. WE DO NOT WARRANT THAT RESULTS WILL BE ERROR-FREE, ACCURATE, OR UNINTERRUPTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROMPTIMA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNTS YOU PAID TO PROMPTIMA IN THE 3 MONTHS BEFORE THE CLAIM.

Some jurisdictions don't allow disclaimers/limits; in those places, our liability is limited to the maximum allowed by law.

13. Indemnification

You will indemnify and hold Promptima and its affiliates harmless from claims, damages, liabilities, costs, and fees (including reasonable attorneys' fees) arising from your misuse of the Service, Your Content, or breach of these Terms.

14. Suspension & termination

We may suspend or terminate your access for violations, risks to the Service, or legal/compliance reasons. You can stop using the Service at any time. Certain sections survive termination (e.g., IP, disclaimers, limits, indemnity, governing law).

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflicts of laws principles.

Disputes will be heard in the state or federal courts located in Delaware.

16. Changes to these Terms

We may update these Terms. If changes are material, we'll notify you by email or in-product before they take effect. Continued use after the effective date means you accept the changes.
